This Services Agreement outlines the terms and conditions governing your subscription to digital or technical services provided by Spenny For Hire. You acknowledge that you have read and agreed to this Agreement and all related policies on the Spenny For Hire website.
By using any of Spenny For Hire’s services, you automatically agree to the terms stated below, including any additional terms that may apply to any specific services ordered:
1. General Terms
1.1 Non-Refundable Fees
All fees paid to Spenny For Hire are non-refundable. Once a service has been initiated, the Client is responsible for full payment, regardless of the outcome.
1.2 Pricing and Changes
Pricing for all services, including features and packages, is subject to change without prior notice. Spenny For Hire reserves the right to update service offerings as needed to adapt to industry standards and evolving customer needs.
1.3 Confidentiality
All services, documents, reports, and recommendations provided by Spenny For Hire are confidential. Information shared during the course of service delivery shall not be disclosed to third parties unless required by law or with written consent from the Client.
1.4 Third-Party Access
Spenny For Hire may collaborate with third parties to complete certain marketing tasks. The Client authorizes Spenny For Hire to communicate with these third parties as necessary. All third-party fees (e.g., expedited directory listings, PPC campaigns, social media boosts) are the responsibility of the Client.
1.5 Client Responsibilities
The Client agrees to provide timely access to website backend, traffic data, relevant content, and administrative email accounts, as required for optimal performance of the marketing efforts. Additionally, the Client will promptly supply additional text, images, and other materials if necessary for the improvement of site content and marketing outcomes.
Terms of Web Design & Development Services
Spenny For Hire provides basic or advanced web development at either a package-based or hourly rate. No recurring charges are applied unless related to hosting, domains, software licenses, annual renewals, or if you have purchased monthly maintenance and management services. By purchasing any service or package, the Client acknowledges having read and agreed to all service-specific terms and conditions posted on the relevant service product page.
Budgeting for Design, Development & Maintenance
The cost of any website depends on the specific needs of each project or business. Costs will vary based on:

If the website installation is WordPress based, the Client understands that WordPress websites require ongoing maintenance and agrees to budget accordingly. Basic and Advanced Monthly Maintenance Packages are available for purchase.
Hosting Access Requirements
Spenny For Hire offers hosting and email services to select clients. If the Client opts for a third-party hosting provider, Spenny For Hire will require access to the hosting server for proper management, including maintenance, security measures, database administration, and error resolution. The level of access required will be based on the level of overall management requested.
Basic Hosting access is required for:

Additional or Ongoing Monthly Development
Spenny For Hire can provide additional or ongoing web development services on a monthly budget basis to ensure consistent progress and predictable billing. The monthly budget can be adjusted to fastrak development. A 30-day notice is required for any pauses or cancellations of ongoing development to allow the completion of any active tasks and mitigate the impact on scheduling.
Design, Styling & Structuring
Spenny For Hire will assist in setting up a website based on a pre-selected theme or template that meets the Client’s requirements. The Client must provide all content, including text, images, and styling preferences, at the outset of the project. If not provided, Spenny For Hire will make decisions on behalf of the Client. Any post-launch revisions or additional customizations will be subject to additional charges.
Commercial Usage of Images & Content
The Client guarantees that any text, images, graphics, or other media provided for use on the website are legally theirs or that they have the rights to use these elements. The Client agrees to indemnify Spenny For Hire from any liability arising from unauthorized use of content. In the event that the Client does not have any images, Spenny For Hire with use images that are free for commercial usage.
Turnaround Time
The project timeline will be determined based on the size and scope of the development and the Client’s budget. To speed up development, the Client may provide an additional monthly retainer to secure additional scheduling. The Client agrees to provide all content, approvals, and feedback in a timely manner and understands that Spenny For Hire is not responsible for delays caused by missing content.
Post-Publishing Alterations
Spenny For Hire cannot be held responsible for any changes made by third parties after the website is launched. Any repairs or restoration efforts required after third-party alterations will be billable to the Client. Any visual anomilies caused by any theme or plugin updates are also billable at an hourly rate unless covered by an applicable maintenance plan.
Customer Involvement
Web development is generally a collaborative process, and the Client agrees to actively participate in the project by:

Client Review & Proofing
During development, Spenny For Hire will provide opportunities for the Client to review the progress of the website at key stages. Any changes requested after each stage or outside the original project scope will be billable as additional work. The initial website packages include up to a certain number of hours worth of initial web development aimed at getting any website to a reasonable publishable state.
Browser Compatibility & Mobile Responsiveness
Spenny For Hire will ensure that websites are designed to work with current popular web browsers (e.g., Firefox, Chrome, etc.) and mobile devices. The website installation, theme, and plugins used to design the site are responsive by default, but at times will require additional adjustments. Spenny For Hire cannot guarantee full compatibility with all current or future browser updates, screen resolutions, or mobile devices of every kind. Additional Browser & Device Compatibility Testing and Adjustments will be billable at an hourly rate if required of requested.
Additional or Remaining Development
After initial website setup, further development, configuration, or additional features requested by the Client will be billable at an hourly rate. The Client acknowledges that web development is often an ongoing process, and any further customization or adjustments outside the initial scope are subject to additional billing.
Client Contact & Participation
The Client agrees to participate or appoint a primary contact person to work with Spenny For Hire during the project. This contact person will be responsible for:

Failure to Provide Required Website Content
The Client agrees to provide all requested content promptly as needed to avoid scheduling delays. Significant delays in providing content may result in the project being rescheduled or even terminated. If content is not provided in a timely manner, Spenny For Hire reserves the right to no longer be available for the project. Any remaining services rendered or off-boarding fees required would then be due on receipt of final invoicing.
Website Maintenance Terms & Conditions
Overview
Spenny For Hire offers tier-based Monthly Website Maintenance packages for WordPress websites, ranging from Basic to Advanced Maintenance. Each maintenance package includes up to a certain amount of time per month towards either basic or advanced maintenance. All WordPress websites require regular maintenance to ensure optimal performance, security, and functionality. This agreement outlines the terms and conditions governing the scope of these maintenance services, along with additional provisions for third-party provider restrictions.

Ongoing Maintenance
The longer a website is left unattended, the greater the chance of errors or threats arising, leading to unnecessary higher repair costs or even complete website loss due to heavy infection or corruption. Monthly maintenance helps mitigate these risks. Any additional maintenance or repairs outside of the basic maintenance package can be provided at an hourly rate. If overall maintenance grows beyond basic monthly maintenance, the advanced maintenance package will be required to allow for the additional scheduling requirements.
Additional Heavily Advanced Maintenance Services
Any highly complex maintenance services that require additional scheduling beyond what is including within the monthly Advanced Maintenance will be billed at an additional hourly rate. This includes but is not limited to:

Website Errors & Accountability
Due to the nature of websites and any applicable software used, issues can arise unexpectedly. Spenny For Hire cannot be held responsible for:

Security breaches.

Performance issues

Theme errors or visual Issues

Or any other technical problems.
These risks exist as part of the ever-changing nature of internet software and technology. Spenny For Hire will of course make every effort to respond to and repair such issues as quickly as possible. (Additional Billing May Be Required if outside the scope of purchased monthly maintenance.)
Third-Party Website Maintenance Provider Restriction
To ensure the integrity and security of the website, the following restrictions apply:

Engagement Exclusivity
By engaging Spenny For Hire for website maintenance services, the client agrees to an exclusive relationship for these services. The client cannot engage with third-party maintenance providers unless otherwise agreed upon in writing. This exclusivity helps prevent technical issues or conflicts that may arise from the involvement of external providers. Allowing third party involvement can contaminate active maintenance, support tickets, and many other ongoing consecutive efforts and is the main reason for this clause. -
Restriction on Third-Party Providers
During the term of this agreement, the client agrees not to engage, contract, or seek services from third-party website maintenance providers for services that overlap or conflict with this agreement without the explicit written consent of Spenny For Hire. -
Cancellation Period & Restriction Extension
If the client chooses to cancel services, this restriction remains in effect during the 30-day cancellation period. No third-party providers may be engaged for website maintenance during this time. -
Violation & Consequences
Violation of the exclusivity agreement constitutes a material breach. Spenny For Hire reserves the right to terminate services, pursue loss of scheduling and income damages, and take other appropriate actions for violations. -
Mutual Agreement for Third-Party Engagement
Both parties may agree in writing to involve a third-party provider, provided this engagement does not conflict with the services or terms of this agreement. In the event that a third party provider if approved for specialized maintenance or support, limited access can be arranged to prevent the possibility of damaged caused by a third party. In the event that a third party maintenance provider or any third party does cause damages, Spenny For Hire may be willing to provide repairs at an hourly rate providing mutual access was originally agreed upon. -
Reservation of Rights
Spenny For Hire reserves the right to update or modify the third-party provider clause as necessary. Any updates will be considered binding once communicated to the client.
Final Acceptance
By agreeing to these Monthly Maintenance Terms, you confirm that you understand the services offered, limitations, and any additional fees that may apply for work outside the scope of your selected monthly maintenance package. Final Acceptance
By engaging Spenny For Hire for Ecommerce services, you acknowledge that you have read, understood, and agree to these terms and conditions. The client is responsible for ensuring that any ongoing budgets for additional services are provided in a timely manner to prevent delays in project completion or management tasks.
Security Terms & Conditions
Spenny For Hire is not liable for any security breaches occurring before, during, or after the implementation of security hardening or maintenance efforts. In the event of a security breach or malware infection, Spenny For Hire can be hired to clean up and restore the website to its original, secure state. The Client is responsible for all costs associated with necessary website security tools and firewall upgrades required for cleaning up and ensuring future security after a severe infection.
Failure to Maintain Website
All WordPress websites require regular maintenance and updates. If a WordPress site is not properly maintained, it can become vulnerable to security breaches caused by outdated software or code. Security patches, WordPress updates, and upgrades are frequent, and continuous monitoring is essential. Spenny For Hire is not responsible for any security breaches resulting from the Client’s failure to maintain their WordPress site.
To prevent such issues, Spenny For Hire offers Basic and Advanced Monthly Maintenance Packages. Any cleanup or restoration due to the Client’s lack of website maintenance will be fully billable. For severe malware infections, database corruption, hacker removal, or damage repair, an advanced retainer is required to secure a spot in the scheduling. Furthermore, Spenny For Hire can not be held responsible for reinfection without providing a budget for a thorough cleaning and active monitoring following complete remediation services. Having an active advanced monthly maintenance or monitoring subscription in place would help prevent or cover some of the cleaning and restoration.
Marketing Terms & Conditions
These Terms and Conditions apply to all marketing services provided by Spenny For Hire, including Basic and Advanced Marketing Maintenance, Technical SEO efforts, and Promotional Marketing Packages. By engaging with Spenny For Hire, the Client agrees to the terms outlined below:

Limitations:
Basic marketing maintenance does not cover advanced technical SEO, in-depth keyword research, or competitor analysis. Enhancements beyond the basic scope will be billed at the standard hourly rate. Extensive advanced marketing will require the Advanced Marketing Plan to secure an appropriate level of scheduling.
2.2 Advanced Marketing Maintenance

Advanced marketing maintenance includes strategic SEO planning, in-depth keyword research, competitor analysis, content optimization, conversion rate optimization, and more detailed monthly reporting. -
Client Deliverables:
The Client agrees to provide the necessary materials for content upgrades, and customer data when requested to aide marketing efforts. Advanced services may require collaboration with the Client for content strategy and specific campaign goals. -
Performance Metrics:
While every effort is made to optimize site performance, rankings, and traffic, conversions are influenced by external factors such as search engine algorithms, competitor activity, and industry shifts. Spenny For Hire does not guarantee a specific ranking or outcome. -
Technical SEO:
Advanced SEO efforts may include structural improvements, performance optimization, mobile responsiveness, and page load speed enhancements. Any technical SEO fixes needed due to external changes made by the Client or third parties will incur additional charges.
2.3 SEO Accountability

No Guarantees on Rankings:
Search engine algorithms are beyond the control of Spenny For Hire. While best practices are followed to increase visibility, the Client acknowledges that achieving #1 rankings or staying in top positions for specific keywords cannot be guaranteed. -
Search Engine Exclusion:
Spenny For Hire is not liable for a search engine’s exclusion of the Client’s website or any penalties imposed. This includes issues related to algorithmic changes, the “Google Sandbox” effect, or manual penalties. -
Re-Optimization:
If SEO performance drops significantly after the campaign ends, Spenny For Hire can re-optimize at the standard hourly rate, following analysis of search engine policies and the causes of the decline.

3.3 Additional Terms for Both Packages

Content Ownership & Usage
The Client grants Spenny For Hire permission to use all provided content, including images, logos, and promotional materials, for the purposes of executing marketing efforts. Any new content created as part of the service will remain the property of the Client. -
Reporting and Adjustments
Occassional reports will be provided to track progress, performance, and ROI. Based on these reports, Spenny For Hire will recommend adjustments to strategy as necessary, with any additional work requiring prior approval and charged at the agreed-upon monthly budget. -
Client Responsibility
The Client must provide access to all required accounts, including website backend, analytics, advertising platforms, and social media accounts. Delays in providing this information may result in campaign delays or affect marketing performance.
By engaging with Spenny For Hire for marketing services, the Client agrees to abide by these Terms and Conditions. Spenny For Hire reserves the right to modify these terms at any time.
Account Management Terms & Conditions
Spenny For Hire offers basic or advanced Account Management, Digital Management, and Business Management related services on a monthly or yearly basis. All such efforts require a varying amount of Account Management, Login and Password Management, Renewal Management, and more. The amount of account management a Client will receive will be based on the monthly service package(s) purchased.
Logins / Passwords:
All logins, passwords, licenses, pin codes, auth codes, or any other requested access will be created, stored, and managed within a highly secure password management system. All logins are available upon request and will be sent securely if requested. Any supplied login databases sent securely will need to be downloaded immediately before the download expires. Once access has been provided, the Client is responsible for all alterations and damages caused, or any security-related breaches as a result of insecure handling and safeguarding of login info and practices. The Client agrees to not change any passwords without authorization to help prevent scheduling delays.
Active Ongoing Support:
Spenny For Hire is fully committed to remaining your goto web guy for all website technical matters. However, Spenny For Hire cannot be expected to continuously manage all admin-based maintenance, emails, renewals, spam, security, updates, and every other web or marketing-related matter free of charge. An Hourly Rate or Monthly Maintenace Fee applies to all troubleshooting, support ticket management, or technical assistance of any kind. Maintenance packages are available at a periodic, monthly, or one-time cost or provided by Spenny For Hire Affiliates and Partners.
Purchasing & Renewal Management Terms & Conditions
Spenny For Hire can recommend the use of tools and services to aid in any web development, ecommerce, or marketing efforts. All Fees for plugins, software, marketing tools, addons, or special upgrades to aid such efforts are herein payable by the Customer upon approval. No fees will be accrued without the Customer’s approval beforehand. Spenny For Hire Agency Licenses may be available at a discounted rate for certain tools.
Spenny For Hire cannot be held accountable for any hidden clauses provided by plugin providers, directories, or software vendors that result in unexpected fees for the Customer but will make every effort to prevent them.
Payment Methods:
In most cases, an active credit card will be required to ensure required subscriptions are automatically renewed each month or annually. Spenny For Hire cannot be held responsible for any loss or functional or website outages that result from credit card expiry or failure to add an acceptable payment method, or any issues that result due to additional credit card security authentication requirements.
Software Licenses / Renewals:
The client will be required to renew all monthly or annual subscriptions & licenses required by the hosting provider, domain names, additional software, themes, plugins, or add-ons, or any renewals of any kind required in order for the website to remain functioning.
Missed Renewals:
Spenny For Hire can assist in providing either basic or full renewal management. Being that renewal management can be difficult to track across many different clients and can take time to fully on-board and transition to being fully managed by any service provider, The Client agrees that Spenny For Hire cannot be held accountable for any missed renewals, expired domains, expired email subscriptions, or any other subscription renewals that have expired. The level of Renewal Management is subject to what is included in the applicable monthly maintenance or management services being maintained.
Chargebacks
The Client agrees not to initiate any chargebacks through their bank or credit card provider for website-related charges without first consulting Spenny For Hire for clarification. Any unauthorized credit card reversals or payment disputes initiated by the Client will be subject to the terms and conditions of the affected payment provider. This can impact the public record of the receiving company and negatively affect its financial standing. Additionally, unauthorized chargebacks may result in the temporary or permanent suspension of the Client’s website or their ability to renew necessary subscriptions. Any efforts requested or required by Spenny For Hire to try to restore such services and account creditability, including any and all support tickets will be fully billable until resolved. Major chargeback suspensions will be subject to an applicable retainer to secure the scheduling required to manage such restoration efforts.
Payment & Retainer Terms & Conditions
To secure a position in scheduling, a retainer is normally requested prior to all development, marketing, tutoring, or digital management services. A consecutive Monthly Retainer is required on the same day each month to maintain a position in scheduling. A very strict late payment policy is in place to prevent scheduling disruption. A detailed receipt(s) will be sent upon project completion or at the end of each service period. Payment(s) can be made via Interac Email Money Transfer.

Additional Requests Not Included in Any Package: (Additional Hourly Billing Apply. )
An additional hourly rate applies for all additional development or other requests not included within any given package or allowable time frame. A reasonable Retainer Invoice will be issued upon assessment of overall additional requirements.
Late Payments:
Any Payment Delays affect scheduling, discounts, and the ability for Spenny For Hire to meet both monthly financial commitments and project turnaround times for all active clients. A strict Payment Policy is in place to ensure expedient development and response for all Spenny For Hire customers. Spenny For Hire reserves the right to charge Late Fees on all unreasonable late or delayed payments. If the Client is having financial difficulties and must delay payment for any reason, a significant advanced warning must be provided in writing. Otherwise, late fees will need to be applied to compensate for Spenny For Hire budgeting disruptions.
Additional Expenses:
The Client agrees to reimburse Spenny For Hire for any additional expenses necessary for the completion of the work. Any additional required purchases or expenses incurred are subject to approval by the Client prior to commencing.
Unpaid Default Accounts:
Accounts unpaid thirty (30) days after the date of invoice will be considered in default. If the Client in default maintains any information or files on Spenny For Hire Web or Email Hosting, Spenny For Hire will, at its discretion, remove all such material from its web hosting space effective immediately after the 30 day late payment period. Spenny For Hire is not responsible for any loss of sales incurred due to the removal of the service or of any Data or loss of website rankings or traffic due to not provided payment.
Removal of such material does not relieve the Client of the obligation to pay any outstanding charges assessed to the Client’s account. Payment returned for insufficient funds will result in the Client’s account being considered to be in default until full payment is received. Clients with accounts in default agree to pay Spenny For Hire reasonable expenses, including legal fees and costs for collection by third-party agencies, incurred by Spenny For Hire in enforcing these Terms and Conditions.
Customer Conduct & Behavior Terms & Conditions
Spenny For Hire enforces a zero-tolerance policy for disrespectful or abusive behavior, unreasonable demands, haggling, or persistent badgering. Such conduct may result in the immediate termination of services, with the Client remaining responsible for the full cost of services rendered. Additionally, the Client will bear all costs associated with website transfers, off-boarding, and any other fees required to decommission their account due to inappropriate behavior.
Disruption of Programming, Development, Features, SEO Work, and Site Conflicts
Spenny For Hire is not liable for any disruptions caused by the Client or third parties altering website configurations, code, performance settings, or previously implemented SEO work. Any changes made by the Client or others that negatively impact the site’s functionality—including structural, content, or marketing—will be the Client’s financial responsibility for any necessary repairs.
Further, Spenny For Hire assumes no responsibility for issues caused by plugins, modules, or scripts installed by the Client or third parties. This includes, but is not limited to, website outages, sales loss, plugin conflicts, database errors, WordPress issues, domain name problems, software bugs, or server failures.
Scheduling
The Client agrees to respect Spenny For Hire’s schedule and acknowledges that unrealistic demands or expedited timelines may not be accommodated. All web development, marketing, and service requests will be prioritized and completed within a reasonable timeframe. Clients understand that Spenny For Hire manages multiple customers, each with its own scheduled work. Any requests for rush work, including evening, weekend, or holiday work, will be subject to higher hourly rates, contingent on prioritization and workload.
Client Abandonment & Unresponsiveness
If the Client needs to pause a project, they must notify Spenny For Hire in advance to discuss options and establish a timeline for resumption. Failure to do so, or sudden abandonment of the project, may lead to its termination after 30 days of unresponsiveness or late payments. In such cases, Spenny For Hire reserves the right to retroactively void any discounts applied to current or previous invoices to compensate for scheduling disruptions and lost income.
If the Client decides to work with another developer, all outstanding and overdue balances must be settled before any website-related work or assets are released. The Client will also be responsible for all fees associated with decommissioning the website, migrating data, transferring domains, or any other steps needed due to project abandonment. Full payment must be received before access to websites, passwords, or files is granted.
All designs, development work, software licenses, domain names, email accounts, and hosting services will be withheld until full payment is made. Late fees and surcharges may apply. Spenny For Hire reserves the right to revoke and resell software licenses, web development assets, logos, or digital assets to recover losses due to abandonment. These assets may be repurposed under a different business or trade name if necessary to mitigate financial hardship.
Cancellation Policy – Terms & Conditions
Clients must provide notice of service cancellation between 30, 60, or 90 days depending on the specific cancellation terms of their subscription package. If a cancellation request is submitted during a billing cycle, it will take effect after the next billing cycle to avoid scheduling disruptions and financial strain on the operator managing the account. This ensures that any scheduled work is completed without interruption. For larger monthly retainers, a gradual reduction in the budget will allow for a smoother transition in terms of development and scheduling for both parties.
Clients will be invoiced for any outstanding work requested or completed up to the cancellation notice date, with full payment required.
Ending Spenny For Hire Services
Service terms will remain in effect until terminated by either the Client or Spenny For Hire for valid reasons, as outlined in the terms. If you wish to end your agreement, please provide written notice, including your reasons, via email to spennyforhire@gmail.com. All outstanding balances must be settled before your account can be fully released. Additionally, an Off-boarding Fee will apply to accounts terminated before the 30, 60, or 90-day cancellation period has ended.
Refund Policy
No refunds are possible for services that have been scheduled, started, or completed. For Monthly or Managed Plans, a 30-90 day cancellation notice is required, depending on the level of services being managed.
Acceptance of Terms & Conditions
By engaging Spenny For Hire, you automatically accept these terms and conditions, whether or not a formal contract is signed. Approval of work through any communication confirms your agreement, and continued use of our services reinforces this acceptance. Any questions about these terms should be directed to us. Using or purchasing services from Spenny For Hire constitutes full acceptance of this agreement.
Indemnity
Our services may only be used for lawful purposes. You agree to indemnify and hold Spenny For Hire harmless from any claims or damages arising from your use of our services.
Copyright
You retain copyright to the data, files, and logos you provide but grant us the right to use them for work purposes. You must ensure that any third-party materials are properly licensed for use, and you agree to indemnify Spenny For Hire against claims arising from your failure to obtain necessary permissions.
Termination
Spenny For Hire reserves the right to terminate this agreement if:
- You breach these terms or fail to comply.
- We are legally required to terminate services.
- Our partners cease offering services to you.
- We cease offering services in your region.
- The services are no longer commercially viable.
- You behave disrespectfully or make unrealistic demands that exceed the agreed budget.
Termination does not affect any accrued rights or obligations. These terms may be updated without notice.
General
These terms supersede all prior agreements. Payment of an advance fee indicates your acceptance of all Spenny For Hire’s Terms and Conditions.
Governing Law
This agreement is governed by the laws of British Columbia, Canada.
Liability
Spenny For Hire is not liable for:
- Loss or damage due to inaccuracies, omissions, delays, or errors.
- Loss or damage caused by the Client or third parties.
Our liability is limited to the amount paid for the services under this agreement.
Severability
If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions will remain in effect, and the invalid provision will be replaced with a valid one that reflects the original intent.
